End User License Agreement
This EULA is intended as a supplemental license for the web application, generated wallet files, QR codes, delivery links, scripts, previews, and related digital artifacts. The Terms of Service remain the main contract for purchases, accounts, withdrawal, refunds, support, and general use of the Services.
This End User License Agreement ("EULA" or "License Agreement") governs your licensed use of the web application, browser-based functionality, generated wallet artifacts, downloadable files, scripts, previews, QR codes, delivery links, and related digital components made available by palmstudio GmbH, doing business as DigiCard Pro ("Licensor," "we," "us," or "our").

By accessing or using the Licensed Product, generating a card, downloading or saving a wallet pass, creating an account, or purchasing a digital card, you agree to this EULA. If you do not agree to this EULA, you must not use the Licensed Product.
This EULA supplements the Terms of Service. If there is a conflict between this EULA and the Terms of Service, the Terms of Service govern the commercial relationship, purchase flow, withdrawal, refund, and account terms, unless this EULA is more specific about software or license rights.
This EULA does not grant you any rights in Apple Wallet, Google Wallet, Apple software, Google software, operating systems, browsers, payment-provider systems, or other third-party services.
The current Licensed Product is provided through a web-based service. It does not include separately installable software unless we expressly state otherwise. If we later distribute separately installable software, additional or updated license terms may apply.

1. Definitions
Licensed Product means the DigiCard Pro software and digital product functionality made available through the Services, including the web application, card generator, authenticated card management platform, wallet generation functions, generated Apple Wallet pass files, Google Wallet object creation functionality, QR code generation, delivery links, previews, scripts, and downloadable digital artifacts.
Services means the websites, backend systems, account features, checkout flows, card-management features, support features, wallet-generation flows, and related services provided by palmstudio GmbH under the DigiCard Pro brand.
Card means one digital business card created through the Licensed Product.
Wallet pass means an Apple Wallet pass or Google Wallet object generated for a Card.
QR payload means the data encoded in the QR code shown on a Card or wallet pass. The default QR payload is a direct vCard.
Direct vCard means a QR code payload that contains contact data directly, instead of only linking to a hosted profile page.
Fixed Card means a Card that is frozen after purchase and fulfillment.
Editable Card means a Card that can be edited after purchase in supported ways for as long as the specific editable-card product feature is maintained and technically available.
User Content means information, images, logos, contact details, company details, URLs, addresses, social links, notes, spreadsheet data, CSV data, QR payload settings, and other materials that you provide or import into the Licensed Product.
2. The Licensed Product
DigiCard Pro enables users to create digital business cards that can be saved to Apple Wallet and Google Wallet.
The Licensed Product may allow you to:
- create digital business cards without an account through the anonymous generator;
- create and manage cards through an authenticated account;
- generate Apple Wallet pass files;
- create Google Wallet objects and save links;
- generate QR codes for contact exchange;
- encode direct vCard contact data in QR codes;
- upload logos and images for wallet display;
- use card templates, groups, locked fields, and bulk import features where available;
- receive card delivery links and transactional emails;
- purchase Fixed Cards, Editable Cards, card credits, or other digital products where offered.
The Licensed Product is designed for ordinary personal and professional contact-exchange use. It is not designed for regulated health, financial, insurance, banking, public-sector security, or other highly regulated data workflows.
You must not use the Licensed Product in a way that would require us to comply with industry-specific laws or security standards such as HIPAA, FISMA, GLBA, or equivalent special regimes unless we have expressly agreed to that in writing.
3. Scope of License
Subject to your compliance with this EULA, the Terms of Service, and applicable law, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Licensed Product for your own personal purposes or internal business purposes.
This license allows you to:
- use the web-based card generator and account platform;
- create Cards using data that you are legally allowed to use;
- download, save, install, or distribute generated wallet passes for the intended contact-exchange purpose;
- display your own generated Card or wallet pass to share your contact information;
- allow third parties to scan your QR code or save your contact details where this is the intended use of the Card;
- use delivery links and save links for their intended purpose;
- use generated Cards and wallet passes for normal networking, business-card, recruiting, sales, event, or contact-sharing workflows.
This license does not transfer ownership of the Licensed Product, our software, our source code, our templates, our designs, our backend systems, our brands, our databases, our generated system assets, or our wallet-generation infrastructure to you.
We reserve all rights not expressly granted in this EULA.
4. Card Variants and Editable Features
4.1 Fixed Cards
A Fixed Card is a one-time digital product. After successful purchase and fulfillment, the card data, QR payload, wallet outputs, and relevant settings are frozen.
You are responsible for checking the Card carefully before purchase. This includes spelling, contact details, QR payload, colors, logo, wallet display fields, and delivery details.
If a Fixed Card contains incorrect information because you entered incorrect or incomplete information, the license does not include a right to edit the Card after fulfillment unless we voluntarily provide support or a correction option.
4.2 Editable Cards
An Editable Card allows the Card owner to update supported card content after purchase through the authenticated platform.
Depending on the wallet provider and the technical state of the Card, updates may cause an Apple Wallet pass to be republished and/or a Google Wallet object to be patched through the provider API.
Editable Cards do not have a planned fixed time-based update expiration in the current product model. However, an Editable Card is editable only for the lifetime of this specific editable-card product feature. The license does not guarantee that the editable-card feature, the current wallet-provider integrations, the authenticated management platform, or any specific update mechanism will be maintained forever.
We may change, discontinue, replace, limit, or suspend editable functionality where necessary for security, legal, technical, provider, product, or business reasons, subject to mandatory consumer rights and contractual obligations.
4.3 Immutable Settings
Certain settings may become fixed after purchase, even for Editable Cards. This may include QR payload type, wallet-provider output settings, purchase variant, or other settings where changing them would require a different product, different fulfillment process, or different wallet-provider object.
5. Wallet Passes, QR Codes, and Contact Data
The wallet pass is primarily a visual and functional container for the QR code. The QR code is the core contact-exchange mechanism.
For direct vCard cards, the QR payload contains contact data directly. This can include names, company details, job titles, phone numbers, email addresses, websites, postal addresses, notes, social links, and other fields you choose to include.
Anyone who can access the QR code may be able to read, scan, save, import, copy, screenshot, forward, or otherwise process the embedded contact data. This may happen even if a Card, account, delivery link, or wallet pass is later deleted, deactivated, or changed.
You are responsible for ensuring that:
- the contact data is accurate;
- you have the right to use the contact data;
- you have the right to create Cards for other people if you enter their data;
- you do not include confidential, sensitive, unlawful, misleading, or unauthorized information;
- you understand that direct vCard QR codes expose the embedded contact data to scanners.
We cannot control what recipients do with data after they scan a QR code, import a vCard, save a contact, download a wallet pass, take a screenshot, or receive a delivery link.
6. User Content and Rights You Grant Us
You retain ownership of your User Content.
To operate the Licensed Product, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, modify, resize, convert, display, transmit, distribute, and otherwise use your User Content only as reasonably necessary to:
- create and display Cards;
- generate QR codes;
- encode direct vCard QR payloads;
- create Apple Wallet passes;
- create and update Google Wallet objects;
- process uploaded logos and images;
- generate wallet-compatible image variants;
- send transactional emails and delivery links;
- show previews;
- provide account and group management;
- support bulk import and template workflows;
- troubleshoot, secure, maintain, and improve the Licensed Product;
- comply with legal obligations and enforce our rights.
This operational license includes the right to provide required Card and wallet data to wallet providers and service providers where necessary to provide the selected output.
We do not claim ownership of your User Content.
You represent and warrant that your User Content:
- is accurate where accuracy is relevant to the Card;
- does not infringe intellectual property rights, privacy rights, publicity rights, data-protection rights, or other rights of third parties;
- is not unlawful, defamatory, harassing, discriminatory, obscene, fraudulent, misleading, harmful, or abusive;
- does not include sensitive or regulated data unless you have a lawful basis and the Licensed Product is appropriate for that use;
- does not include malware, tracking mechanisms, hidden payloads, or technical content designed to interfere with the Licensed Product or third-party systems;
- complies with this EULA, the Terms of Service, wallet-provider rules, and applicable law.
We may remove, disable, refuse, or restrict User Content if we reasonably believe it violates this EULA, the Terms of Service, third-party provider requirements, or applicable law.
7. Restrictions
You must not:
- copy, reproduce, distribute, resell, sublicense, rent, lease, lend, or commercially exploit the Licensed Product except as expressly permitted;
- sell generated Cards, wallet passes, QR codes, delivery links, templates, or software access as a competing product without our prior written permission;
- reverse engineer, decompile, disassemble, decode, or attempt to derive source code, algorithms, signing keys, private APIs, wallet credentials, or backend logic except where mandatory law expressly permits it;
- bypass checkout, payment, access-control, account, token, entitlement, credit, or security systems;
- use bearer links, anonymous success links, delivery links, claim links, or wallet distribution tokens in an unauthorized way;
- scrape, harvest, crawl, or systematically extract data from the Licensed Product without our written permission;
- overload, disrupt, impair, or attack the Licensed Product or its providers;
- upload malware, malicious files, deceptive links, unlawful logos, unlawful brand assets, or unauthorized third-party materials;
- create Cards that impersonate another person, company, public authority, or brand without authorization;
- use the Licensed Product for phishing, fraud, spam, unsolicited advertising, harassment, surveillance, identity deception, or other unlawful purposes;
- remove or alter copyright, trademark, legal, security, or provider notices;
- use the Licensed Product in violation of Apple Wallet, Google Wallet, Google API, Firebase, Dodo Payments, Resend, Termly, or other third-party terms that apply to your use;
- use the Licensed Product in a way that causes us to violate our provider agreements or applicable law.
Violations may lead to suspension, termination, deactivation of Cards, removal of content, blocked access, refusal of future service, or legal action.
8. Technical Requirements and Compatibility
Use of the Licensed Product requires a compatible browser, internet access, and where wallet features are used, a compatible device, operating system, wallet application, and wallet-provider account or environment.
Apple Wallet functionality depends on Apple devices, Apple Wallet, Apple systems, Apple pass behavior, Apple push notification services, and Apple's technical and policy requirements.
Google Wallet functionality depends on Google Wallet, Google accounts, Google systems, Google Wallet APIs, Google object handling, Google image fetching and caching, and Google's technical and policy requirements.
We do not guarantee that:
- every device can save or display every wallet pass;
- Apple or Google will accept, display, update, synchronize, or retain every wallet pass or object;
- wallet updates will appear immediately;
- old wallet pass versions will be removed from every device;
- third-party wallet apps will behave consistently;
- logo images, colors, fields, QR codes, or layouts will look identical across all devices or provider interfaces;
- provider APIs, wallet apps, operating systems, or browser behavior will remain unchanged.
We may modify technical specifications, supported browsers, supported devices, supported wallet-provider features, field limits, layout choices, QR payload options, image requirements, and delivery mechanisms where necessary or reasonable.
9. Third-Party Platforms and Wallet Providers
The Licensed Product integrates with or relies on third-party platforms and providers. These may include:
- Apple Wallet;
- Apple pass services and Apple Push Notification service;
- Google Wallet and Google Wallet APIs;
- Google APIs;
- Firebase and Google Cloud;
- Dodo Payments;
- Resend;
- Termly;
- Google Maps and Places where optional location features are used;
- browsers, operating systems, email providers, and mobile devices.
Third-party providers are not parties to this EULA unless mandatory platform terms say otherwise. They may have their own terms, policies, privacy notices, technical limits, account requirements, and enforcement rights.
You must comply with applicable third-party terms when using the Licensed Product.
9.1 Google Wallet
For Google Wallet cards, we may create or update Google Wallet objects through Google Wallet APIs. Google may receive and process wallet object data, including card display data, QR payload data, wallet object identifiers, logo image URLs, generated image assets, colors, layout information, issuer metadata, and other data needed to create, save, display, cache, synchronize, or update the Google Wallet object.
You must not use Google Wallet output in a way that violates Google's terms, policies, acceptable-use rules, brand rules, or technical requirements.
We may suspend, change, regenerate, or deactivate Google Wallet output where required by Google, provider rules, security needs, or applicable law.
9.2 Apple Wallet
For Apple Wallet cards, we may generate .pkpass files and related pass
metadata. Apple Wallet passes may include update-service metadata and may
register with our Apple Wallet update service so eligible Editable Cards can be
updated in place.
Apple Wallet pass installation, display, updates, relevance behavior, device registration, and push update delivery depend on Apple systems and user device settings.
You must not use Apple Wallet output in a way that violates Apple's terms, policies, pass rules, brand rules, or technical requirements.
We may suspend, change, regenerate, or deactivate Apple Wallet output where required by Apple, provider rules, security needs, or applicable law.
10. Maintenance and Support
We are responsible for maintenance and support of the Licensed Product to the extent required by applicable law, the Terms of Service, this EULA, and any support commitments we expressly make.
Support may include:
- answering product questions;
- helping with checkout or delivery issues;
- investigating generation errors;
- helping users access eligible delivery links;
- investigating wallet generation failures;
- addressing account or security issues;
- providing reasonable help with product defects.
Support does not include:
- guaranteed custom design work;
- manual correction of user-entered errors in Fixed Cards after fulfillment;
- support for unsupported devices or unsupported browser setups;
- support for third-party wallet-provider outages or account restrictions;
- guaranteed recovery of wallet passes or QR data already distributed to third parties;
- support for unlawful, abusive, fraudulent, or policy-violating uses.
Apple, Google, Dodo Payments, Resend, Termly, Firebase, Google Cloud, and other third-party providers have no obligation under this EULA to provide maintenance or support for our Licensed Product unless their own terms say otherwise.
11. Use of Data and Privacy
Our processing of personal information is described in the Privacy Policy.

You acknowledge that operation of the Licensed Product requires us to process technical data, account data, card data, wallet generation data, payment status data, support data, and other information described in the Privacy Policy.
You also acknowledge that, where wallet output is selected or required, we must provide required data to wallet providers. In particular:
- Google Wallet output requires us to submit required Google Wallet object data to Google;
- Apple Wallet output requires us to generate Apple-compatible pass data and may involve Apple Wallet update-service registration data after installation;
- QR codes using direct vCard payloads expose embedded contact data to scanners.
If you do not want data to be processed by a specific wallet provider, you should not use or distribute that wallet output.
12. Updates, Changes, and Feature Availability
We may provide updates, corrections, improvements, security changes, provider compatibility changes, wallet-provider integration changes, layout changes, field changes, or other modifications to the Licensed Product.
This EULA applies to updates that replace, repair, supplement, or modify the Licensed Product unless a separate license is provided for that update.
We may change, limit, replace, suspend, or discontinue features where necessary or reasonable for legal, security, technical, provider, product, operational, or business reasons, subject to applicable law and mandatory consumer rights.
This is especially relevant for:
- Editable Card update behavior;
- Apple Wallet update-service behavior;
- Google Wallet object update behavior;
- QR payload options;
- pass layouts;
- image processing;
- bulk import features;
- group and template features;
- anonymous delivery links;
- checkout-provider behavior;
- authentication-provider behavior.
The license to use an Editable Card does not guarantee that any specific editing interface, provider integration, wallet update mechanism, layout, field, or platform feature will remain available forever.
13. Intellectual Property Rights
The Licensed Product, including software, source code, object code, APIs, designs, templates, layouts, databases, infrastructure, workflows, generated system assets, documentation, names, marks, logos, and related intellectual property, is owned by us or our licensors.
The DigiCard Pro name, branding, trade dress, logos, and related marks are owned by us or our licensors.
You may not use our marks, brands, or trade dress except as expressly allowed by us in writing or as required to identify the source of the Licensed Product in a lawful and non-misleading way.
Nothing in this EULA assigns our intellectual property rights to you.
You remain responsible for the legality of logos, images, names, marks, company names, personal names, and other materials you upload or include in Cards.
If a third party claims that your User Content infringes its rights, you are responsible for that User Content. If a third party claims that the Licensed Product itself infringes intellectual property rights, we are responsible for handling that claim to the extent required by applicable law.
14. Open-Source and Third-Party Software
The Licensed Product may include or depend on open-source software, third-party libraries, SDKs, APIs, fonts, icons, frameworks, runtime services, and infrastructure components.
Those components may be subject to separate license terms, attribution requirements, notices, disclaimers, or restrictions. Examples may include permissive open-source licenses such as MIT, Apache-2.0, BSD, ISC, MPL, or similar licenses, as well as provider SDK terms and cloud-service terms.
To the extent required by the applicable third-party license, the third-party license terms apply to that component independently of this EULA.
This EULA does not limit any rights you may have under open-source licenses.
Open-source and third-party software components are provided by their respective copyright holders and licensors. Unless required by mandatory law or expressly stated otherwise, those third-party licensors provide their components without separate warranties from us and are not responsible for support, maintenance, product claims, or liabilities relating to the Licensed Product as a whole.
We may provide third-party notices, attribution information, license texts, or source-code access where legally required through the website, a legal notice, a dedicated attribution page, repository files, product documentation, or another reasonable method. If you need a copy of applicable third-party notices for the Licensed Product, you may contact us using the support details in this EULA.
15. Warranty
The Licensed Product is provided subject to the warranty rights that apply under mandatory law.
For consumers, statutory rights for digital products and digital services apply. Nothing in this EULA limits mandatory consumer warranty, conformity, update, or defect rights.
For business users, entrepreneurs, and professional users, warranty and defect rights are limited to the extent permitted by applicable law and the Terms of Service. Business users must inspect the delivered digital product, wallet artifact, generated card, QR code, or related output without undue delay after delivery or availability and notify us of any defect without undue delay after discovery.
For business users, claims for defects are excluded where the issue is caused by:
- incorrect, incomplete, unlawful, or unsuitable data entered by the user;
- user-selected colors, logos, text, QR payloads, URLs, or design choices;
- unauthorized or infringing use of names, brands, logos, images, or contact data;
- unsupported devices, third-party wallet-provider behavior, operating-system changes, browser behavior, or third-party account requirements;
- user-side modifications, misuse, or failure to follow reasonable instructions;
- interruption, discontinuation, or change of third-party services outside our reasonable control.
For business users, the limitation period for defect claims is one year from delivery or availability of the affected digital product, wallet artifact, generated card, QR code, or related output, to the extent permitted by law. This limitation does not apply to claims based on intent, gross negligence, injury to life, body, or health, fraudulent concealment of a defect, a guarantee expressly given by us, mandatory product liability, or other claims that cannot be limited by law.
We do not warrant that:
- the Licensed Product will be uninterrupted, error-free, or available at all times;
- every wallet pass will work on every device;
- every wallet provider will accept, display, update, cache, synchronize, or retain every pass or object;
- third-party services will always remain available;
- generated Cards will be error-free if the input data is incorrect, incomplete, misleading, or unauthorized;
- QR codes or vCards will be suitable for every scanner, contact app, CRM, or address-book application;
- Editable Cards, wallet updates, or provider integrations will remain available forever.
If you discover a defect, you should contact us without undue delay and provide enough information for us to investigate, such as order details, account email, affected Card, device/browser information, wallet provider, screenshots where helpful, and a description of the issue.
We may remedy confirmed defects by correction, replacement, regeneration, reasonable workaround, refund, deactivation, or another legally appropriate measure depending on the issue and applicable law.
16. Liability
Our liability is governed by applicable law and the Terms of Service.
Nothing in this EULA excludes or limits liability where such exclusion or limitation is not permitted by law, including liability for intent, gross negligence, injury to life, body, or health, mandatory product-liability claims, fraudulent concealment, guarantees expressly given, or mandatory consumer rights.
In cases of ordinary negligence, we are liable only for breach of a material contractual obligation. Material contractual obligations are obligations whose fulfillment makes proper performance of the contract possible and on whose compliance you may regularly rely. In those cases, liability is limited to the typical and foreseeable damage at the time of contract formation, unless a broader liability is mandatory by law.
Subject to mandatory law, we are not responsible for damage caused by:
- inaccurate, incomplete, unlawful, or unauthorized User Content;
- misuse of QR codes, wallet passes, delivery links, claim links, access tokens, or bearer links;
- third-party use of contact data after QR scanning, vCard import, wallet pass sharing, screenshotting, or forwarding;
- unsupported devices, operating systems, browsers, wallets, or third-party applications;
- third-party provider outages, restrictions, policy enforcement, caching, display changes, or API changes;
- payment-provider, email-provider, cloud-provider, wallet-provider, browser, device, or operating-system issues outside our reasonable control;
- your breach of this EULA, the Terms of Service, third-party terms, or applicable law.
For business users, our liability for ordinary negligence is limited to the amount paid by the customer for the affected order or, for ongoing paid services, the amount paid during the six months before the event giving rise to the claim, to the extent permitted by law. This cap does not apply to liability for intent, gross negligence, injury to life, body, or health, mandatory product liability, fraudulent concealment, guarantees expressly given by us, or other liability that cannot be limited by law.
17. Product Claims
We are responsible for addressing product claims relating to the Licensed Product to the extent required by applicable law.
This may include claims relating to:
- product functionality;
- failure to conform to applicable legal requirements;
- consumer protection rights;
- privacy or data-protection issues;
- intellectual property claims relating to the Licensed Product itself;
- support and maintenance obligations we are legally required to provide.
Third-party providers such as Apple, Google, Dodo Payments, Resend, Termly, Firebase, Google Cloud, browsers, device manufacturers, and operating-system providers are not responsible for product claims relating to our Licensed Product unless their own terms or mandatory law say otherwise.
18. Legal Compliance
You represent and warrant that:
- you have the legal capacity to enter into this EULA;
- you are at least 18 years old;
- you will use the Licensed Product only in compliance with applicable law;
- you are not prohibited from using the Licensed Product under applicable sanctions, export-control, or trade-restriction laws;
- you are not located in a country or territory where use of the Licensed Product would be unlawful;
- you will not use the Licensed Product for unlawful, fraudulent, misleading, abusive, discriminatory, or rights-infringing purposes;
- you will comply with applicable Apple, Google, payment-provider, email-provider, cloud-provider, browser, device, and operating-system terms when using the Licensed Product.
We may suspend or terminate access where required for legal compliance, provider compliance, security, fraud prevention, or risk control.
19. Termination
This license remains valid until terminated by you or us.
You may terminate the license by stopping use of the Licensed Product, deleting your account where applicable, and deleting or no longer using generated wallet passes and related files where reasonably possible.
Your rights under this EULA terminate automatically if you materially breach this EULA, the Terms of Service, applicable provider terms, or applicable law.
Upon termination, you must stop using the Licensed Product and destroy or stop using unauthorized copies of software, files, credentials, tokens, or materials that you are not entitled to keep.
Termination does not necessarily remove:
- wallet passes already saved on devices;
- QR codes already printed, shared, saved, or screenshotted;
- vCards already imported by third parties;
- contact data already distributed to recipients;
- Google Wallet objects already processed by Google;
- Apple Wallet pass data already processed by Apple or installed on devices;
- records we must keep for tax, accounting, payment, audit, legal, fraud prevention, or dispute purposes.
We may deactivate, revoke, delete, or restrict Cards, delivery links, wallet distribution tokens, account access, or generated outputs where technically possible and legally appropriate.
20. Applicable Law and Jurisdiction
This EULA is governed by the laws of Germany, excluding conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.
If you are a consumer, this choice of law does not deprive you of mandatory consumer protection provisions that apply under the law of your country or state of habitual residence and that cannot be excluded by contract.
If you are a business user, merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction, to the extent permitted by law, is the court competent for our registered office in Germany.
For consumers, statutory places of jurisdiction apply. A consumer may bring claims in Germany or in another court that has jurisdiction under mandatory consumer protection rules.
21. Miscellaneous
This EULA, together with the Terms of Service and other applicable legal policies, forms the agreement governing your licensed use of the Licensed Product.
If any provision of this EULA is invalid, unlawful, or unenforceable, the remaining provisions remain effective. The invalid, unlawful, or unenforceable provision will be replaced by a valid provision that comes as close as legally possible to the original economic and legal purpose.
Our failure to enforce a provision of this EULA does not waive our right to enforce it later.
We may assign rights and obligations under this EULA where permitted by law, for example in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the business.
You may not assign or transfer your rights under this EULA without our prior written consent, except where mandatory law gives you such a right.
Changes or amendments to this EULA may be made as described in the Terms of Service and subject to applicable law.
